Welcome to EdurixAI. By accessing or using our websites, software, client portals, SCADA gateway connections, and industrial automation services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Acceptance of Terms and Scope
These Terms constitute a legally binding agreement between EdurixAI Engineering ("EdurixAI", "we", "us", or "our") and the legal entity or individual accessing the Services ("Client", "you", or "your"). If you do not agree to these Terms, you must immediately terminate all connections to our APIs, SCADA portals, and gateway software.
2. Provision of Services and Node Licenses
EdurixAI licenses its cloud monitoring dashboard, utility tracking system, and intrusion detection telemetry on a subscription and node-count basis.
- Authorized Nodes: You may only connect hardware telemetry nodes (PLCs, meters, RTUs) that have been licensed under your corporate service agreement.
- Software Updates: We reserve the right to deploy security updates, firmware modifications, and telemetry interface adjustments automatically to safeguard the network.
3. User Accounts and Operations Security
To utilize the EdurixAI portal, you must establish an account. You agree to maintain the security of credentials, logins, and private keys.
- You are solely responsible for all automated control actions, configuration changes, and utility overrides executed through your user accounts.
- You must immediately notify EdurixAI Support of any compromised portal accounts or suspected cybersecurity breaches at your local facilities.
4. Intellectual Property
All proprietary algorithms, machine learning models, SCADA dashboard layouts, software, code, logos, and designs developed by EdurixAI are and remain the exclusive property of EdurixAI Engineering. You are granted a limited, revocable, non-exclusive, non-transferable license to access the portal solely for your internal industrial operations. You agree not to:
- Reverse engineer, decompile, or extract the source code of any hardware gateways or platform interfaces.
- Resell, sublicense, or distribute telemetry feeds or data access tokens to unauthorized third parties.
5. Disclaimers and Operational Risks
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EDURIXAI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Industrial automation involves inherent physical risks. EdurixAI does not control physical plant operations, safety valves, electrical grids, or environmental hazards. We do not warrant that the portal telemetry will be 100% uninterrupted, error-free, or that automated control overrides will execute perfectly in the event of local power, hardware, or ISP failures.
6. Limitation of Liability
IN NO EVENT SHALL EDURIXAI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR VALUE, RESULTING FROM PLANT OUTAGES, UTILITY SHUTDOWNS, CORRUPTED TELEMETRY, OR PHYSICAL HARDWARE FAILURE AT CLIENT SITES.
Our aggregate liability for all claims arising under these Terms shall not exceed the total fees paid by you to EdurixAI in the twelve (12) months preceding the event giving rise to the claim.
Governing Law & Disputes
These Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Wilmington, Delaware.
